The purpose of this role is to act as Company Secretary for a portfolio of NAB Wealth Group companies and committees, performing a corporate governance role to those boards and committees. Working as part of a dynamic professional team supporting the Directors of NAB Wealth Group companies and the NAB Wealth business, the role acts as the liaison point between the directors and management of the business in co-ordinating requests for information and secretariat services.

The key responsibilities include;

  • Support the NAB Wealth Risk Management Framework including role clarity and reporting for the boards and directors and to support the identification, examination and escalation of issues in a timely manner.
  • Record, maintain and distribute the minutes of all board and committee meetings as required for a portfolio of NAB Wealth Boards and Committees;
  • Manage the Board Agenda Schedule for each board and committee
  • Prepare Board Agendas to address all matters that must be considered by the Boards / committees
  • Review board / committee papers and reports to ensure that they clearly address the key issues and do not bury /obfuscate key information
  • Guide and support the boards and directors, ensuring that action items from each board /committee are achieved in a timely manner
  • Pro- actively work with the business to achieve governance outcomes
  • To ensure board processes and procedures run efficiently and effectively;

To be successful in this role you will be a member of Institute of Chartered Secretaries and Administrators or equivalent with CA/CPA or legal qualifications, ideally within the financial service industry, plus the following skills and experience;

  • Experience within either a company secretariat function, an in-house legal team or professional services team, a professional services firm, or a law firm of 5 yrs and at least 2 years at a senior level.
  • Preferably legally qualified (admitted to practice in NSW) with legal knowledge and experience gained in-house or in a law firm
  • A strong understanding of Corporations legislation and other governance guidelines and how they impact on a company's day to day administration.
  • A relevant Degree (Business/Commerce or Law)
  • Excellent communication skills, both written and oral.
  • Knowledge of corporations law and how it impacts on a company's day-to-day administration.
  • Knowledge of corporate governance practices and commercial maturity.
  • A well developed appreciation of the confidentiality and sensitivity of the secretarial function.
  • Ability to interact with senior management, directors and external parties.
  • Ability to meet tight deadlines.
